1. Acceptance of Terms
Welcome to VirtualCall.AI. These Terms of Service ("Terms") govern your access to and use of our website, developer APIs, software development kits (SDKs), telephony integration modules, and cloud platform dashboard (collectively, the "Service").
By creating an account, accessing our APIs, or utilizing the Service in any manner, you represent that you are an authorized representative of your business and agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Service.
2. Telephony and Recording Consent Compliance
Because our Service involves real-time voice communications and telecommunications routing, the following compliance terms apply to all transactions:
a. Wiretapping and Recording Consent (Sole Customer Responsibility)
Many local, state, and international jurisdictions have strict regulations regarding the recording of telephone conversations (e.g., "one-party consent" vs. "two-party/all-party consent" wiretapping laws).You are solely and exclusively responsible for complying with all applicable wiretapping and recording laws.
By deploying conversational agents that record, transcribe, or analyze call audio, you represent and warrant that you have obtained or will obtain all necessary consents from call participants. You must implement appropriate warning notices (e.g., "This call is recorded and processed by an automated assistant") where required by law. VirtualCall.AI disclaims all liability resulting from your failure to obtain required consents.
b. Telecommunication Carriage and Rented Numbers
VirtualCall.AI facilitates telephone connectivity by renting numbers and routing carrier traffic. Rented telephone numbers are leased subject to carrier availability. You do not own these numbers. We reserve the right to reclaim or modify rented numbers if required by upstream carrier compliance, law enforcement, or inactivity.
3. Acceptable Use Policy
You agree to utilize VirtualCall.AI only for lawful, authorized purposes. You are strictly prohibited from utilizing the Service to:
- Robocalling & Spam: Generate unauthorized mass outbound telemarketing calls, spam, or robocalls in violation of the Telephone Consumer Protection Act (TCPA), FTC regulations, or international equivalents.
- Caller ID Spoofing: Spoof, falsify, or mask Caller ID headers with the intent to defraud, harass, or mislead call recipients.
- Unconsented Voice Cloning: Create voice clones or utilize synthetic speech models that impersonate specific individuals (such as public figures, employees, or customers) without their express, written consent.
- Harassment & Fraud: Engage in abusive, harassing, deceptive, or fraudulent calling behaviors, or operate unauthorized collections practices.
Enforcement: If we receive spam or fraud alerts from downstream telephony carriers (such as Twilio, bandwidth providers, or STIR/SHAKEN clearinghouses) associated with your account, we reserve the right to immediately suspend or terminate your API credentials and active lines without notice or liability.
4. Billing, Per-Minute Rates, and Usage
We operate on a usage-based pay-as-you-go billing model:
- Billing Increments: Call durations are calculated to the second and billed per minute based on the running rate of the selected platform services, intelligence models, and voice synthesis engines.
- Pre-Paid Credits and Subscriptions: You must maintain valid credit cards or prepaid balances to execute calls. If your account balance drops below zero, active lines may be immediately disconnected, and active APIs will return rate-limit errors.
- Taxes and Regulatory Fees: Usage rates do not include local, state, or federal telecommunication taxes or carrier surcharges, which will be calculated and appended to your invoice where applicable.
5. API Limits and Service Levels
To maintain low latency and platform availability, we implement standard concurrency thresholds and rate limits:
- Rate Limiting: Standard sandbox accounts are capped at a specific number of concurrent active calls. You can request limit increases by completing our KYC (Know Your Customer) validation and registering your business profile.
- Platform Uptime: While we target 99.9% uptime for core API services, we cannot guarantee constant, uninterrupted network routing due to reliance on external cellular, telephony, and AI model providers. Enterprise customers can negotiate enforceable SLAs with custom VPC compute configurations.
6. Intellectual Property and Custom Agent Configs
Your Property: You retain all intellectual property rights to your custom system instructions, system prompts, uploaded knowledge base documents, and custom voice models created through our platform.
VirtualCall.AI Property: VirtualCall.AI retains all rights, titles, and interests in the underlying technology, APIs, SDKs, web dashboards, and platform algorithms. We grant you a limited, non-exclusive, non-transferable, revocable license to access our platform solely to build and deploy your voice agent integrations.
7. Limitation of Liability and Indemnification
To the maximum extent permitted by law, VirtualCall.AI is provided "as is" and "as available". We make no warranties, express or implied, regarding telephony carriage, model accuracy, or synthesis quality.
Indemnification: You agree to defend, indemnify, and hold harmless VirtualCall.AI and its parent company, affiliates, officers, and engineers from and against any claims, damages, losses, or liabilities (including attorney's fees) arising from your breach of these Terms, your violations of telephony regulations (such as TCPA), or your failure to obtain wiretapping/recording consent.
8. Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Dallas, Texas, and you hereby consent to the personal jurisdiction and venue therein.
